In addition to the relaxations provided by SEBI vide it’s circular dated March 19, 2020, SEBI has decided to provide further relaxations from complying the certain provisions of SEBI (LODR) Regulations, 2015 as follows:
1. The Entities, which are required to hold at least one NRC meeting, SRC Meeting and Risk Management Committee during a financial year, may hold such meetings up to June 30, 2020;
2. Top 100 listed entities may hold their AGM for the FY 19-20 up to September 30, 2020, instead of August 31, 2020.
3. Certificate from Practicing Company Secretary Regulation 40(9) on the timely issue of share certificates may be filed up to May 31, 2020, instead of April 30, 2020.
4. No requirement of publication of advertisements in the newspaper as required under regulation 47 for all the events scheduled till May 15, 2020.
Further, the imposition of fines and other enforcement actions for non-compliance with provisions of LODR vide SEBI Circular dated January 22, 2020, shall be effective from the period ending June 30, 2020, instead of March 31, 2020.
